SALE TERMS AND CONDITIONS<\/p><\/h1><\/div>

Orders<\/h2><\/div>

\u2022 Any acceptance of a Customer Order by MEL (Customer is defined below as Buyer) is conditional upon Buyer’s consent to MEL’s terms and conditions which takes precedence over all other terms and conditions of the Buyer.<\/p>\n

\u2022 No order accepted by MEL may be modified by Buyer without the written consent of MEL.<\/p>\n

\u2022 No order may be canceled in part or in whole by Buyer without MEL’s written consent. If applicable, a minimum fee of 25% will be charged to the buyer for any cancellation, up to a maximum of 100% cancellation fee for non-returnable or custom-made products.<\/p>\n

\u2022 No product will be returned to MEL without written authorization from MEL. A return number must be obtained from MEL and the buyer agrees to accept the shipping costs incurred. A minimum restocking fee of 25% will be charged to the buyer for any return of merchandise, up to a maximum of 100% return fee for non-returnable products, custom-made, installed, damaged or without it\u2019s original package(s).<\/p>\n<\/div><\/div><\/div>

Price<\/h2><\/div>

\u2022 All prices are subject to change without notice.<\/p>\n

\u2022 All prices exclude applicable taxes and are in Canadian currency unless otherwise indicated.<\/p>\n

\u2022 Some items may be influenced by the exchange rate. In the event of changes in the rates in effect at the time of receipt of the order in our establishments, MEL reserves or keeps the right to modify the prices of the purchaser’s order.<\/p>\n<\/div><\/div><\/div>

Payment terms<\/h2><\/div>

\u2022 Our payment terms are Net thirty (30) days, unless otherwise specified or accepted by MEL.<\/p>\n

\u2022 All deliveries that are delayed by the customer will be invoiced on the delivery dates initially scheduled and this, as determined by MEL.<\/p>\n

\u2022 If the delivery is delayed by more than thirty (30) days, storage charges will be applied from the 30th day following the invoice date. The storage costs will be 2% monthly of the total value of the order until complete delivery.<\/p>\n<\/div><\/div><\/div>

Transport and delivery<\/h2><\/div>

\u2022 If MEL is responsible for shipping the order, MEL reserves the right to use the method of transport MEL desires and the transport company of it\u2019s choice. In the event that the buyer specifically requires a particular transport company, the latter must accept the additional costs.<\/p>\n<\/div><\/div><\/div>

Limited Liabilities<\/h2><\/div>

\u2022 Under no circumstances will MEL be held responsible for the buyer’s loss of profits, production shortages, or any other damage resulting directly or indirectly from any default in this contract, or from any other obligations or warranties provided under this specified contract.<\/p>\n

\u2022 In no event shall MEL be liable for loss of the buyer’s profits, production shortages, or any other damages caused by delays in delivery, installation or supply of products or services under this this contract.<\/p>\n

\u2022 MEL’s liability arising from loss of buyer’s profits, production shortages, or any other damage arising directly or indirectly from any defect in this contract is limited to claims under the warranty provisions and shall be limited to the value of the products in question.<\/p>\n<\/div><\/div><\/div>

Warranties<\/h2><\/div>

Products<\/h3><\/div>

\u2022 MEL warrants the Buyer that the Products will be shipped free from defects in material, workmanship and title and that Services will be performed with skill and diligence in accordance with jointly agreed specifications. Unless otherwise stipulated in writing by MEL, items not manufactured by MEL shall be covered only by the original manufacturer’s warranty. MEL makes no warranties on behalf of the manufacturers with respect to these items.<\/p>\n<\/div>

Repairs<\/h3><\/div>

\u2022 MEL guarantees the repair of electronic parts for a period of three (3) months. MEL does not guarantee the electronic product as a whole but only the repair which has been agreed in advance with the buyer.<\/p>\n

\u2022 Welding machines, portable tools, single phase motors and submersible pumps are guaranteed for a period of ninety (90) days from the date of shipment (material and labour).<\/p>\n

\u2022 All other pumps, gearboxes, other motors, generators, transformers and other units are under warranty for a period of twelve (12) months from the date of shipment (material and labor). The warranty applies to the work carried out only and not to the entire unit.<\/p>\n

\u2022 No warranty is offered on a new soft coil winding for a medium voltage motor.<\/p>\n<\/div>
